Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MatchFund (the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This is a template intended for review by qualified legal counsel before public launch.

1. The Service

MatchFund is a curated directory that helps founders and researchers discover investors matched to their stage, sector, cheque size, and geography. We compile investor information from public and third-party sources and present ranked matches. We do not introduce, endorse, or guarantee any investor, and we are not a party to any relationship you form with an investor.

2. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for activity under your account. You must be at least 18 years old and able to enter into a binding contract.

3. Free and paid tiers

The Service offers a free tier with limited searches and results, and a paid subscription that unlocks investor contact details and additional features. Subscription pricing, billing intervals, and taxes are shown at checkout. Payments are processed by Stripe; subscriptions renew automatically until cancelled. You can cancel at any time through the customer portal, and cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.

4. Acceptable use

You agree not to:

• scrape, harvest, crawl, or systematically extract data from the Service, or attempt to circumvent measures (including rate limits and obfuscated contact rendering) that protect the directory;
• resell, redistribute, or sublicense the investor data or any part of the Service;
• use investor contact details for unsolicited bulk messaging or any unlawful purpose;
• probe, attack, or interfere with the integrity or performance of the Service, or access it by automated means except as we expressly permit.

5. The data

Investor information is provided on an “as is” basis for informational purposes. We work to keep it accurate but do not warrant that it is complete, current, or error-free. You are responsible for verifying any information before relying on it.

6. Intellectual property

The Service, including its compilation of investor data, design, and software, is owned by MatchFund and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose, subject to these Terms.

7. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. We are not liable for any indirect, incidental, or consequential damages, or for any investment, fundraising, or business outcome arising from your use of the Service. Nothing in these Terms excludes liability that cannot be excluded by law.

8. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. You may stop using the Service at any time.

9. Artificial intelligence

We use artificial intelligence and automated tools to compile, enrich, and quality-check the investor information in our directory (for example, to extract firm details and structure public data). AI-assisted output may contain errors and is provided for informational purposes only — it is not advice, and you should independently verify anything you rely on. Any decisions you make based on the Service are your own responsibility.

10. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you submit to the personal jurisdiction of those courts.
